1. Who we are & what's covered
Falken Ltd. ("Falken", "we", "us") operates the Falken platform. These Terms apply to all of the following products and any sub-products or features within them:
- Falken — this website at
www.falken.ltd. - Echelon — our REST API at
api.falken.ltd. - Nexus.Web — the admin dashboard for organization administrators.
- Nexus — the mobile and desktop app for athletes, coaches, and Electronic Scoring Target (EST) device communication.
- Sentinel — our internal background-jobs service. Not user-facing, listed for completeness.
By accessing or using any of the above, you agree to be bound by these Terms. If you do not agree, you may not access or use the platform. For how we collect and use your information, read the Privacy Policy.
2. Eligibility & age
You must be at least 13 years old to use the Falken platform. By creating an account and using the platform, you represent and warrant that:
- You are at least 13 years of age.
- If you are under 18, you have the permission of a parent or legal guardian to use the platform.
- If you are under 13, your account exists only with the verifiable consent of a parent or legal guardian under our Children's Privacy Notice.
- Your use of the platform does not violate any applicable laws or regulations.
We may, at our discretion, require verification of your identity and age at any time. We reserve the right to suspend or terminate accounts where we reasonably believe the user does not meet these eligibility requirements.
3. Account responsibilities
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
- You may not share an account. One human per account.
- You may not transfer, sell, or assign your account to any other person or entity without our prior written consent.
- We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.
4. What the platform does
Falken is the connected platform for competitive marksmanship. The platform includes the following features (subject to your role, your organization's plan, and your account settings):
Live scoring & competitions
Real-time shot-by-shot scoring driven by Electronic Scoring Targets, competition management, public leaderboards, and ShotCast streaming.
Training journals & analytics
Training journals, sight settings, goal tracking, and team performance analytics.
AI insights & recaps
AI-generated coaching insights and match recaps using third-party inference (see Section 7).
Match photos
Photos uploaded by photographers, coaches, and organizers, manually tagged to athletes (see Section 6).
Communications
Posts, comments, group chats, news articles, and end-to-end encrypted direct messages (see Section 10).
Organization tools
Roster management, range and equipment management, camp registration, and organization-run competitions.
5. Role-specific terms
Some users have role-specific obligations that go beyond these Terms. These additional terms add to (and do not replace) the master Terms below.
- If you are an Organization Admin paying for a subscription, the Organization Subscription Agreement applies in addition to these Terms.
- If you (or a parent/guardian on behalf of a minor) are registering for a camp, the Camp Registration Terms apply in addition to these Terms.
6. Your content & license grant
You retain ownership of all content you create, upload, or share on the platform — your training journal entries, posts, comments, photos you upload, scores, and notes.
To run the platform, you grant Falken a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and create derivative works of your content, but only for the following purposes: delivering the features you've asked for, surfacing your content to your organization or chosen audience per your settings, generating analytics and AI-derived insights for you and your authorized organization users, and operating the platform itself. This license ends when you delete the content, except as required to honor backup retention or legal obligations.
Match photos. If you upload match photos as a photographer, coach, or organizer, you keep ownership of the photos and grant Falken the same license described above to host them on the platform and tag them to athletes. Athletes who appear in a match photo can request removal of the tag, or removal of the photo where the photo's subject has the right to do so under applicable law. Photo subjects who are minors are governed by the Children's Privacy Notice.
Prohibited content. You may not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another's privacy, hateful, or that infringes anyone's intellectual property. Falken may remove content that violates these Terms.
7. AI features
The platform uses third-party AI inference providers (currently Anthropic and OpenAI) to generate coaching insights and match recaps. Outputs are AI-generated and may be wrong, incomplete, or out of date. AI outputs are not a substitute for professional coaching judgment, medical advice, or sport-specific rule interpretation. You are responsible for how you use AI outputs.
Anthropic and OpenAI contractually do not train their models on inputs from API customers like Falken under their published API terms. Falken does not currently train Falken-owned AI models on user data; if and when we begin to do so, we will notify users in advance and provide an opt-out (or opt-in, depending on jurisdiction).
8. Hardware & Electronic Scoring Targets
The Nexus app communicates over local networks with Electronic Scoring Target ("EST") systems including FreeTarget/SILOS, SIUS, and MegaLink. Falken does not manufacture, sell, or warrant any EST hardware. Scoring accuracy depends on third-party hardware Falken does not control, the network on which the hardware operates, and proper setup of the targets and the Nexus app.
Falken's scoring tools are not the official record for any sanctioning body or competition unless that body or competition has separately said so in writing. Where an official scorer or sanctioning body's record disagrees with Falken's scoring tools, the official record controls.
You may not reverse-engineer the EST drivers, the protocol implementations, the Nexus mobile/desktop app, the Echelon API, or any other Falken software, except to the extent expressly permitted by applicable law.
9. Competitions & scoring
The platform provides tools for organizations to run competitions. The hosting organization is responsible for rule interpretation, protests, results certification, and disputes. Falken's role is technical: providing the software for scoring, results, and leaderboards. Public leaderboards and competition results may be visible to other users on the platform and on the public website where your organization has chosen to make them public.
10. Communications
Direct messages on the platform are end-to-end encrypted. Falken cannot read the contents of your direct messages. We can see message metadata (who sent to whom, when) for delivery and abuse-prevention purposes.
Posts, comments, group chats, and news-article comments are not end-to-end encrypted and may be moderated by your organization, by Falken, or by automated systems for compliance with these Terms and our community guidelines.
11. Acceptable use
You may not, and may not assist anyone else to:
- Post or transmit illegal content, content that harasses or threatens others, hate speech, content that infringes intellectual property, or content that violates the privacy of others.
- Manipulate scores, falsify competition results, or otherwise cheat on the platform's scoring or competition tools.
- Scrape, mirror, or otherwise programmatically access the platform beyond your own data and beyond any rate limits or terms documented for the Echelon API.
- Reverse-engineer, decompile, or disassemble the EST drivers, the mobile/desktop apps, or the Echelon API, except to the extent permitted by applicable law that cannot be waived by contract.
- Access another user's account, another organization's data, or any non-public area of the platform without authorization.
- Interfere with the integrity or operation of the platform — denial-of-service attacks, malware, spamming, vulnerability exploitation outside an authorized disclosure program, or attempts to bypass authentication or authorization.
- Use the platform to send unsolicited bulk communications outside ordinary organization-roster messaging.
12. Reporting violations & DMCA
To report content or conduct that violates these Terms or our community guidelines, email terms@falken.ltd with a description of the issue and a link to the relevant content.
Copyright (DMCA). If you believe content on the platform infringes your copyright, send a written notice to our designated DMCA agent at dmca@falken.ltd. Your notice must include: (a) a physical or electronic signature of the copyright owner or their authorized agent, (b) identification of the copyrighted work, (c) identification of the allegedly infringing material with enough detail to locate it, (d) your contact information, (e) a statement that you have a good-faith belief that the use is not authorized, and (f) a statement made under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
If you believe your content was removed in error, you may submit a counter-notice to the same address that includes the elements required by the Digital Millennium Copyright Act.
13. Suspension & termination
You may close your account at any time from your account settings. Upon closure, your right to use the platform ends immediately and we begin the data-deletion or anonymization process described in our Privacy Policy.
We may suspend or terminate your account, with or without prior notice, if you breach these Terms, violate our acceptable-use rules, fail to pay amounts due (for paid users), or where required by law. Where feasible we will give notice and a chance to cure.
If you leave a Falken organization (a club, school, camp, or league), the organization's data about you stays with the organization (subject to the organization's own privacy practices), but your personal Falken account is unaffected. If an entire organization closes, members can continue to use their personal accounts; the organization's roster and competition data is retained per our retention schedule.
Provisions of these Terms which by their nature should survive termination will survive — including ownership, license grants for content already lawfully shared, warranty disclaimers, indemnity, and limitations of liability.
14. Subscriptions overview
Most athletes use Falken for free as members of an organization that subscribes. Paying organization admins are governed by the Organization Subscription Agreement in addition to these Terms. Camp registrants are governed by the Camp Registration Terms in addition to these Terms.
15. Disclaimers
The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Falken disclaims all warranties of any kind, whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, accuracy of scoring, and uninterrupted or error-free operation.
Falken does not warrant that the platform will meet your requirements, that errors will be corrected, that the platform is free of viruses or harmful components, or that any data — including scoring data — is accurate. You use the platform at your own risk.
16. Limitation of liability
To the maximum extent permitted by law, Falken's total cumulative liability arising out of or related to these Terms or your use of the platform — regardless of the theory of liability (contract, tort, statute, or otherwise) — will not exceed the greater of (a) the fees you paid to Falken in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
To the maximum extent permitted by law, Falken will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if Falken has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limits above apply only to the maximum extent permitted. North Carolina law does not allow contractual limits on liability for gross negligence or willful misconduct, and nothing in these Terms purports to do so.
17. Indemnification
You agree to indemnify, defend, and hold harmless Falken, its officers, directors, employees, and agents from any claim, loss, damage, liability, or expense (including reasonable attorney's fees) arising out of or related to (a) your content, (b) your use of the platform, (c) your violation of these Terms, or (d) your violation of any third-party right, including intellectual-property or privacy rights.
18. Governing law & disputes
These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. The exclusive jurisdiction and venue for any dispute arising out of or related to these Terms or the platform is the state and federal courts sitting in Forsyth County, North Carolina, and you consent to personal jurisdiction in those courts.
These Terms do not require arbitration and do not contain a class-action waiver.
19. Beta & Preview features
Some features of the platform may be marked as "Preview", "Beta", or otherwise identified as not generally available. Those features are provided as-is, may be changed or discontinued at any time, may have additional terms presented in-product, and are not subject to any service-level commitment.
20. Changes to these Terms
We may update these Terms from time to time. When we make a material change (such as a new category of obligation, a new fee category, or a new lawful basis for processing your data) we will email you and post an in-app banner at least 30 days before the change takes effect, and we will require you to re-accept the updated Terms before continuing to use the platform.
Non-material changes (typo fixes, formatting, link updates) are reflected in the "Last Updated" date and version above. The complete history of every Falken policy is on the policy changelog page.
21. General
Entire agreement. These Terms, together with the role-specific documents in Section 5 and the Privacy Policy, constitute the entire agreement between you and Falken regarding the platform.
Severability. If any provision is held unenforceable, the rest of these Terms remain in effect.
No waiver. Falken's failure to enforce any provision is not a waiver of that provision.
Assignment. Falken may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to you. You may not assign these Terms without our prior written consent.
Force majeure. Falken is not liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, internet outages, pandemics, labor disruptions, cyberattacks, and acts of government.
