Organization Subscription Agreement

1. Scope & precedence

This Agreement adds to the master Terms of Service when an organization admin subscribes the organization to a paid Falken plan. For paying organization admins on subscription matters specifically, this Agreement controls in case of conflict; everywhere else, the master Terms control. Your organization's members continue to be governed by the master Terms (and the Camp Registration Terms when they register for camps).

2. Authority to bind the organization

By subscribing, you represent that you have authority to bind the organization to this Agreement and to the master Terms. If you leave the organization, the organization is responsible for designating a new billing contact; until that happens, billing notices continue to go to the email address on file.

3. The subscription

The subscription term is one year ("annual term"). The plan, the included features, and the rate are whatever was shown to you at checkout and confirmed in your order confirmation email. Pricing is published at /pricing; the order confirmation is the authoritative record of what your organization purchased.

4. Free trial

The 30-day free trial requires a credit card and does not auto-convert to paid. At the end of the trial, the admin must affirmatively subscribe; if you do not, the organization becomes inactive and athletes' personal data is preserved per the master Terms § 13. We will email a reminder before the trial ends.

5. Auto-renewal (post-subscription)

Once subscribed, the subscription auto-renews for additional annual terms. Falken will email a renewal reminder 14–30 days before each renewal. The admin can cancel anytime in account settings; cancellation is effective at the end of the current paid term.

6. Payment processor

Falken uses Stripe to process subscription payments. Falken never sees raw card numbers; Stripe handles tokenization, storage, and PCI obligations. Stripe's terms also apply to your billing relationship and to chargebacks.

7. Renewal pricing changes

Falken may change renewal pricing. Any change takes effect at the start of the next renewal term and is communicated in the same 14–30 day pre-renewal email; you can decline by cancelling before the renewal date. Where Falken has offered a locked rate (such as a founding-member rate), that rate is honored as long as the subscription remains continuous.

8. Refunds

Annual subscriptions are non-refundable, except (a) where required by applicable law and (b) on a pro-rata basis for the unused portion of the current term if Falken materially breaches this Agreement or the master Terms and fails to cure within 30 days of written notice from the admin to billing@falken.ltd.

9. Cancellation by admin

The admin can cancel the subscription anytime in account settings. There is no early-termination fee. The organization's data remains accessible through the end of the paid term; afterwards, retention follows the master Terms § 13 and the Privacy Policy.

10. Stripe Connect & marketplace facilitator role

When the organization accepts camp registration fees or competition fees through Falken, those funds flow through Stripe Connect to the organization's connected Stripe account. The organization is the merchant of record for those transactions; Falken is a software platform that facilitates the technical flow and is not a party to the transaction between the organization and the registrant.

The organization is responsible for:

  • Sales, use, and other taxes on its own transactions.
  • Refunds under the organization's own refund policy (see the Camp Registration Terms).
  • Chargebacks initiated by registrants through their card issuer.
  • Disputes with registrants about delivery of the camp, competition, or other paid event.

11. Organization as independent data controller

Each organization is an independent data controller for personal information about its members in the organizational context (see Privacy Policy § 1 and § 5). Falken processes that data to provide the platform. Organizations subject to a data-protection regime that requires a data processing addendum may request a Falken DPA at privacy@falken.ltd.

12. Admin obligations

  • Keep the organization's billing contact information current.
  • Maintain accurate roster data; remove athletes who are no longer members.
  • Obtain any consents your members need under the organization's own privacy practices.
  • Comply with the Children's Privacy Notice when adding athletes under 13.
  • Enforce safety, sanctioning-body, and firearms-regulation rules in your organization's own activities.

13. Member management

Admins can add and remove members. Admins must comply with the Children's Privacy Notice when registering minors. Removing a member from the organization does not delete the member's personal Falken account; it only removes their organizational affiliation and the organization's access to their organizational data.

14. Sport-specific & operational responsibility

Organizations are responsible for their own insurance, range safety, firearms-regulation compliance, sanctioning-body rules, waivers, and supervision of minors at any in-person event. Falken is a software platform; not a sanctioning body, not a safety officer, not a firearms regulator.

15. Service modifications

Falken may change, improve, or discontinue platform features at any time. If Falken removes a material feature your organization has subscribed for during a paid term, the organization may elect a pro-rata refund or a credit applied to a future term, equal to the unused portion of fees attributable to that feature.

16. Termination by Falken

Falken may suspend or terminate the subscription, with or without notice, for non-payment after a reasonable cure window, breach of this Agreement or the master Terms, or violation of the acceptable-use rules. Where feasible Falken will give notice and a chance to cure.

17. Beta & Preview features (reaffirmed)

Even when a paid plan includes features marked as Preview or Beta, those features remain as-is, may be changed or discontinued at any time, and are not subject to any service-level commitment.

18. Survival

The intellectual-property, indemnity, limitation-of-liability, governing-law, and confidentiality (including DPA confidentiality where applicable) provisions of this Agreement and the master Terms survive termination of the subscription.
